Consideration of award of contract to GenCon, Inc. in the amount of $1,058,300 and Thor
Construction in the amount of $883,263 for eneral renovation of the Outdoor Pool.
I. RECOMMENDED ACTION:
By Motion: Award the attached contract agreements to GenCon, Inc.
in the amount of $1,058,300 and Thor Construction in the amount of
$883,263 for general renovation of the Outdoor Pool.
II. BACKGROUND
Sealed bids were opened on Wednesday, August 7, for two contracts related to the
Outdoor Pool Renovation Project (City Project #2657 and 2658). Gremmer and
Associates prepared the plans and specifications for the bid solicitation. The bid forms
were divided into two contracts as follows:
Contract One
^ Bathhouse Construction
^ General site work.
0821 pool contract
Contract Two
1) Main Pool
^ Replace re-circulation pipes.
^ Replace main pool re-circulation pump.
^ Replace gutter system.
^ Sandblast, paint, and caulk pool surfaces.
^ Construct an accessible ramp to comply with ADA.
2) Adventure Pool (definition: a shallow wading pool with state-of--the-art play
equipment designed for water play).
^ Replace existing wading pool (2,200 square-foot) with a new 4,500
square-foot adventure pool, to comply with ADA and State codes.
^ Install water play equipment in adventure pool.
^ Construct separate mechanical system for the adventure pool.
The following alternates were included on the bid forms:

III. BASIS OF RECOMMENDATION
A. POLICY
• City Council approved a transitory ordinance approving Phase One pool
improvements and conducted a public hearing on February 12, 2002, pursuant to
Section 8.04 of the City Charter. City conducted a public hearing and passed a
transitory ordinance approving Phase Two on March 26, 2002. City Council
approved plans and specifications, and the advertisement for. bids on July 9, 2002.

B. CRITICAL ISSUES
• In order to stay on schedule for an estimated grand opening of June 14,
2003, the two contracts will need to be awarded at the August 21 meeting.
The date for substantial completion of the project has been set in the
contracts for May 23, 2003. The following is an outline of the various
project milestones:
A. Contract One shall complete the following no later than 30 days following
Notice to Award:
1. Grading of subgrade below Adventure pool and Adventure pool deck to
plan elevation.
2. Provide temporary water and electrical services to bathhouse for use
by all Contractors.
B. Contract One shall complete the following no later than 90 days following
Notice to Award:
1. Completion of the bathhouse filter room, including all floors, walls,
doors & hardware, and ceiling, to allow Contract Two to install
adventure pool equipment, piping, and valves.
C. Contract Two shall complete the following no later than April 30, 2003:
1. Completion of adventure pool and play feature.
2. Pool decks and deck drains.
C. FINANCIAL
• An estimate of the total project cost is attached. A number of costs are not
included in the construction contracts including design, demolition, site
survey, umbrellas, picnic tables, security system, public-address system,
deck lounge chairs, lifeguard platforms, concession equipment, soil and
concrete testing, plan review and reproduction. The total of these expenses
that are not included in the contracts is $272,796. With a total approved
project budget of $2,370,392, this leaves $2,097,596 available for contracts
one and two together.

• Based upon the lowest bids, contract one would be awarded to GenCon in
the amount of $1,050,000 and contract two would be awarded to Thor
Construction in the amount of $850,000. Staff recommends the addition of
alternates 1-2, 1-3, and 1-4 (coiling metal doors to all rear and concession
windows) to contract one, for reasons of providing added security to the
building against vandalism and break-ins. Staff also recommends the
addition alternate 2-4 (main pool access ramp) to contract two. Based upon
the bid results, the addition of alternates 1-2, 1-3, 1-4 and 2-4 will still award
lowest bid to GenCon for contract one in the amount of $1,058,300 and
Thor Construction for contact two in the amount of .$883,263.
• With all costs considered, a contingency for unforeseen expenses is
available in the amount of $155,934.

D. LEGAL

upon the contract dollar amount.
City Attorney Corrine Thomson reviewed the attached contract agreements.
Each contractor has signed an affidavit of non-collusion.

AGREEMENT
A. THIS AGREEMENT is by and between the City of Richfield, Minnesota,
hereinafter called OWNER and GEN CON, hereinafter called CONTRACTOR.
B. OWNER and. CONTRACTOR, inconsideration of mutual covenants hereinafter
set forth, agree as follows:
ARTICLE 1-WORK
1.01 CONTRACTOR shall complete all Work as specified or indicated in the Contract
Documents. Work is generally described as follows: Base bid and Alternates 1-2, 1-3, and
1-4: Contract No. 1 Bathhouse, Site Work, Site Mechanical, and Site Electrical.
ARTICLE 2 -THE PROJECT

ARTICLE 4 -CONTRACT TIMES
4.01 Time of the Essence
A. All time limits for Milestones, if any, Substantial Completion, and completion
and readiness for final payment as stated in the Contract Documents are of the
essence of the Contract.
4.02 Milestones
A. Contract No. 1 shall complete the following no later than 30 days following
Notice to Award:
1. Grading of subgrade below Adventure pool and Adventure pool deck to
plan elevation.
2. Provide temporary water and electrical services to bathhouse for use by all
Contractors.
B. Contract No. 1 shall complete the following no later than 90 days following
Notice to Award:
1. Completion of the bathhouse filter room, including all floors, walls, doors
& hardware, and ceiling, to allow Contract No. 2 to install adventure pool
equipment, piping, and valves.
C. Contract No. 2 shall complete the following no later than Apri130, 2003.
1. Completion of adventure pool with exception of the special aggregate
surface and play feature.
2. Pool decks and deck drains.
4.03 Dates fog Substantial Completion and Final Payment
A. Work will be substantially completed on or before:
1. Contract No. 1 -May 23, 2003
2. Contract No. 2 -May 23, 2003
B. Work under all Contracts shall be completed and ready for final payment in
accordance with paragraph 14.07 of General Conditions on or before June 20, 2003.

4.04 Liquidated Damages.
A. CONTRACTOR AND OWNER recognize that time is of the essence of this
Agreement and OWNER will suffer financial loss if Work is not completed within
the times specified in Paragraph 4.02 and 4.03 above, plus any extensions thereof
allowed in accordance with Article 12 of General Conditions. The parties also
recognize the delays, expense and difficulties involved in proving in a legal or
arbitration proceedings the actual loss suffered by OWNER if the Worlc is not
complete on time. Accordingly, instead of requiring -any such proof, OWNER and
CONTRACTOR agree that as liquidated damages for delay (but not as a penalty)
CONTRACTOR shall pay OWNER five hundred dollars ($500.00) for each day
that expires after time specified in Paragraph 4.02 for milestones not complete and
for each day that expires after time specified in Paragraph 4.03 for Substantial
Completion until the Work is substantially complete. After Substantial
Completion, if CONTRACTOR shall neglect, refuse, or fail to complete the
remaining Work within the Contract Time or any proper extension thereof granted
by OWNER, CONTRACTOR shall pay OWNER two hundred dollars ($200.00)
for each day that expires after the time specified in Paragraph 4.03 for completion
and readiness for final payment until the Work is completed and ready for final
payment..
ARTICLE 5 -CONTRACT PRICE
5.01 OWNER shall pay CONTRACTOR for performance of Worlc in accordance with Contract
Documents an amount in current funds equal to the sum of the amounts determined
pursuant to Paragraphs S.O1.A.
A. For all Work a Lump Sum of:
One Million, Fifty-Eight Thousand, Three Hundred Dollars ($ 1,058,300)

ARTICLE 6 -PAYMENT PROCEDURES
6.01 Submittal and Processing of Payments
A. CONTRACTOR shall submit Applications for Payment in accordance with Article
14 of the General Conditions. Applications for Payment will be processed by
ENGINEER as provided in the General Conditions.

- ~ 6.02 Progress Payments; Retainage
A. OWNER shall make progress payments on account of the Contract Price on the
basis of CONTRACTOR'S Applications for Payment on or about the 15`x' day of
each month during performance of the Work as provided in Paragraphs 6.02.A.1
and 6.02.A.2 below. All such payments will be measured by the schedule of values
established in Paragraph 2.07.A of the General Conditions
1. Prior to Substantial Completion, progress payments will be made in the
amount equal to the percentage indicated-below but, in each case, less the
aggregate of payments previously made and less such amounts as
ENGINEER may determine or OWNER may withhold, in accordance with
Paragraph 14.02 of the General Conditions:
a. 95% of Work completed (with a balance being retainage).
b. 75% of cost of materials and equipment not incorporated in the
Work (with the balance being retainage).
2. Upon Substantial Completion, OWNER shall pay an amount sufficient to
increase total payments to CONTRACTOR to 98% of the Work completed,
_ less such amounts as ENGINEER shall determine in accordance with
Paragraph 14.02.B.5 of the General Conditions and less 100% of
ENGINEER'S estimate of the value of Work to be completed or corrected as
shown on the tentative list of items to be completed or corrected attached to
the certificate of Substantial Completion.
6.03 Final Payment
A. Upon final completion and acceptance of the Work in accordance with Paragraph
14.07 of the General Conditions, OWNER shall pay the remainder of the Contract
Price as recommended by ENGINEER as provided in said Paragraph 14.07.
ARTICLE 7 -INTEREST
Not used.
ARTICLE 8 - CONTRACTOR' S REPRESENTATIONS
8.01 In order to induce OWNER to enter into this Agreement, CONTRACTOR makes the
following representations:

A. CONTRACTOR has examined and carefully studied the Contract Documents and
the other related data identified in the Bidding Documents.
B. CONTRACTOR has visited the Site and become familiar with and is satisfied as to
the general, local, and Site conditions that may affect cost, progress, and
performance of the Work.
C. CONTRACTOR is familiar with and is satisfied as to all federal, state, and local
Laws and Regulations that may affect cost, progress, and performance of the Work.
D. CONTRACTOR has carefully studied all: (1) reports of explorations and tests of
subsurface conditions at or contiguous to the Site and all drawings of physical
conditions in or relating to existing surface or subsurface structures at or contiguous
to the Site (except Underground Facilities) which has been identified in the
Supplementary Conditions as provided in Paragraph 4.02 of the General Conditions.
E. CONTRACTOR has obtained and carefully studied (or assumes responsibility for
having done so) all additional or supplementary examinations, investigations,
explorations, tests, studies, and data concerning conditions (surface, subsurface, and
Underground Facilities) at or contiguous to the Site which may affect cost, progress,
or performance of the Work or which relate to any aspect of the means, methods,
techniques, sequences, and procedures of construction to be employed by
CONTRACTOR, including applying the specific means, methods, techniques,
sequences, and procedures of construction, if any, expressly required by the
Contract Documents to be employed by CONTRACTOR, and safety precautions
and programs incident thereto.
F. CONTRACTOR does not consider that any fiu ther examinations, investigations,
explorations, tests, studies, or data are necessary for the performance of the Worlc at
the Contract Price, within the Contract Times, and in accordance with the other
terms and conditions of the Contract Documents.
G. CONTRACTOR is aware of the general nature of the work to be performed by
OWNER and others at the Site that relates to the Work as indicated in the Contract
Documents.
H. CONTRACTOR has correlated the information known to CONTRACTOR,
information and observations obtained from visits to the Site, reports and drawings
identified in the Contract Documents, and all additional examinations,
investigations, explorations, tests, studies, and data with the Contract Documents.
I. CONTRACTOR has given ENGINEER written notice of all conflicts, errors,
ambiguities, or discrepancies that CONTRACTOR has discovered in the Contract
~ Documents, and the written resolution thereof by ENGINEER is acceptable to
CONTRACTOR.

J. The Contract Documents are generally sufficient to indicate and convey
understanding of all terms and conditions for performance and furnishing of the
Work.

ARTICLE 10 -MISCELLANEOUS
10.01 Terms
A. Terms used in this Agreement will have the meanings indicated in the General
Conditions.
10.02 Assignment of Contract
A. No assignment by a party hereto of any rights under or interests in Contract will be
binding on another party hereto without written consent of party sought to be bound;
and, specifically but without limitation, monies that may become due and monies
that are due may not be assigned without such consent (except to extent that effect
of this restriction may be limited by law), and unless specifically stated to contrary

in any written consent to an assignment, no assignment will release or discharge
assignor from any duty of responsibility under Contract Documents.
10.03 Successors and Assigns
A. OWNER and CONTRACTOR each binds himself, his partners, successors, assigns
and legal representatives to the other party hereto, his partners, successors, assigns
and legal representatives in respect to all covenants, agreements and obligations
contained in Contract Documents.
10.04 Severability
A. Any provision or part of the Contract Documents held to be void or unenforceable
under any Law or Regulation shall be deemed stricken, and all remaining provisions
shall continue to be valid and binding upon OWNER and CONTRACTOR, who
agree that the Contract Documents shall be reformed to replace such stricken
provision or part thereof with a valid and enforceable provision that comes as close
as possible to expressing the intention of the stricken provision.
IN WITNESS THEREOF, OWNER and CONTRACTOR have signed this Agreement in
duplicate. One counterpart each has been delivered to OWNER and to CONTRACTOR. All
portions of the Contract Documents have been signed or identified by OWNER and
CONTRACTOR or on their behalf.
This Agreement will be effective on August 21, 2002
(which is the Effective Date of the Agreement).
